Terms of Service

These terms govern use of the Cortonex website, demo requests, authenticated demo portals, client-access subdomains, evaluation workspaces, and related materials.

Agreement to these terms

These Terms of Service apply when you access or use the Cortonex website at https://cortonex.com/, submit a form, request a demo, review product materials, access a Cortonex-controlled subdomain, or use an authenticated demo, evaluation workspace, proof-of-concept workspace, or client portal operated by Cortonex.

If you access the website or a demo environment on behalf of an organization, you represent that you have authority to bind that organization to these terms. If you do not agree to these terms, do not use the website or any demo environment.

Any paid product, pilot, deployment, professional service, enterprise agreement, data processing agreement, business associate agreement, statement of work, or other signed agreement may contain additional or different terms. If a signed agreement conflicts with these terms, the signed agreement controls for the subject matter it covers.

Key definitions

  • Website means the public Cortonex website and related public pages, assets, forms, documentation, and marketing materials.
  • Demo environment means any Cortonex-hosted or Cortonex-operated demo portal, evaluation workspace, proof-of-concept workspace, client-access environment, or authenticated subdomain.
  • Workspace content means files, records, prompts, source context, operational data, model context, logs, metadata, notes, evidence records, outputs, and other materials submitted, uploaded, connected, generated, or processed inside a demo environment.
  • Authorized user means an individual approved by Cortonex or by a client organization to access a demo environment or client-access subdomain.
  • Services means the website, demo environments, product demonstrations, client portals, and related materials or functionality made available by Cortonex.

Eligibility and user representations

You represent that you have legal capacity to use the Services, that you will use them only for lawful business or evaluation purposes, and that all information you provide to Cortonex is accurate, current, and provided with appropriate authority.

You may not use the Services if doing so would violate laws, regulations, sanctions, export controls, confidentiality obligations, professional obligations, procurement rules, security requirements, or contractual obligations that apply to you or your organization.

Accounts and authorized access

Cortonex may provide approved users with access credentials for a demo environment or client-access subdomain. Access is personal to the authorized user or organization approved by Cortonex and may not be shared, sold, transferred, or used by anyone else.

You are responsible for safeguarding credentials, using strong authentication practices, maintaining accurate account information, and promptly notifying Cortonex of suspected unauthorized access, credential compromise, or misuse.

Cortonex may monitor, log, restrict, suspend, or terminate access to protect the Services, enforce these terms, investigate misuse, comply with law, preserve workspace integrity, or protect Cortonex, its users, customers, systems, or data.

Demo environments and evaluation use

Demo environments are provided for evaluation, demonstration, review, and controlled business assessment. Unless Cortonex agrees in writing, demo environments are not production systems and must not be used to make final legal, medical, financial, operational, compliance, procurement, or regulated decisions.

Demo data, dashboards, intelligence records, evidence paths, risk forecasts, validation states, citations, conflict disclosures, audit trails, and workflow routes may be illustrative, simulated, configured for a specific evaluation, or based on limited sample context. They should be reviewed by qualified human decision makers before any downstream action.

Submitted information and workspace content

You retain responsibility for information, files, prompts, source context, records, operational data, digital or spatial data, model context, exception logs, notes, and other materials you submit, upload, connect, or make available to Cortonex. You represent that you have the rights, permissions, consents, and authority necessary to provide that information.

Unless Cortonex has separately agreed in writing, do not submit regulated production data, protected health information, sensitive personal information, trade secrets, export-controlled materials, highly confidential materials, or other sensitive operational data through the public website or a demo workspace.

You grant Cortonex a limited, non-exclusive right to process workspace content as needed to provide, secure, support, evaluate, operate, troubleshoot, and improve the requested website, demo, or workspace experience, subject to applicable agreements.

AI outputs, intelligence records, and human review

Cortonex may generate, display, or simulate outputs such as intelligence records, evidence links, citations, lineage records, validation states, confidence indicators, conflict disclosures, risk forecasts, audit trails, owner routes, and release gates. These outputs are decision-support materials, not a substitute for professional judgment.

You are responsible for reviewing outputs, validating source material, resolving conflicts, determining fitness for purpose, applying domain expertise, and deciding whether any output should be used. Cortonex does not provide legal, medical, financial, compliance, engineering, operational, or professional advice through the website or demo environments.

Outputs may be incomplete, inaccurate, stale, or based on limited source context. Do not rely on any output without appropriate human review and verification against the underlying records and controls.

Intellectual property

The Services, including the website, product design, brand assets, logos, text, visuals, diagrams, dashboards, workflows, interfaces, software, source code, object code, prompts, system design, models, product concepts, and demo experiences, are owned by Cortonex Technologies Inc. or its licensors and are protected by intellectual property and other laws.

Subject to these terms, Cortonex grants you a limited, revocable, non-exclusive, non-transferable right to access and use the website or approved demo environment for its intended business evaluation purpose. No other rights are granted.

You may not copy, modify, distribute, frame, scrape, reverse engineer, decompile, disassemble, create derivative works from, or attempt to extract source code, model logic, system prompts, product architecture, or non-public functionality except as permitted by law or expressly authorized in writing by Cortonex.

Feedback and submissions

If you provide suggestions, ideas, comments, corrections, feature requests, security feedback, or other feedback about Cortonex, you grant Cortonex a worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, commercialize, and incorporate that feedback without restriction or compensation, unless a separate written agreement says otherwise.

Confidentiality

Non-public demo environments, product previews, security review materials, technical architecture, access credentials, workspace configurations, pricing, roadmap information, and product functionality may be confidential. You may not disclose them outside your approved organization or evaluation group unless Cortonex authorizes it or a separate written agreement allows it.

You agree to use reasonable care to protect Cortonex confidential information and to use it only for the approved evaluation, demo, procurement, security review, or business discussion.

Prohibited activities

  • Attempting unauthorized access to any account, workspace, subdomain, system, network, data, source repository, or infrastructure.
  • Sharing credentials, impersonating another person, misrepresenting affiliation, or bypassing authentication or access controls.
  • Scanning, probing, load testing, scraping, crawling, or benchmarking the Services without written authorization.
  • Uploading malware, exploit code, unlawful content, deceptive content, infringing material, or content designed to disrupt or compromise systems.
  • Using the Services to violate privacy, data protection, sanctions, export control, anti-corruption, health information, professional responsibility, or regulated-industry requirements.
  • Submitting sensitive or regulated production data into a public form or demo workspace unless Cortonex has agreed in writing to receive it.
  • Using outputs as final professional advice or as the sole basis for high-stakes decisions without qualified human review.
  • Copying, disclosing, or using non-public demo materials outside the approved evaluation group.
  • Removing proprietary notices, misusing Cortonex marks, or suggesting endorsement by Cortonex without permission.
  • Interfering with, degrading, reverse engineering, or attempting to extract the underlying logic, prompts, models, code, or architecture of the Services.

Compliance with laws

You are responsible for using the Services in compliance with laws, regulations, internal policies, and contractual obligations that apply to you and your organization. You may not use the Services in violation of export control, sanctions, anti-corruption, privacy, data protection, cybersecurity, professional responsibility, health information, or regulated-industry requirements.

Third-party services and links

The website or demo environments may reference, integrate with, link to, or rely on third-party websites, infrastructure, software, models, APIs, platforms, cloud services, authentication systems, analytics providers, or communications services. Cortonex is not responsible for third-party content, availability, security, privacy practices, or terms.

Your use of third-party services may be subject to third-party agreements or policies. Cortonex does not control those third-party services and does not guarantee their availability or performance.

Service management, changes, and corrections

Cortonex may modify, suspend, withdraw, restrict, replace, or discontinue any part of the website, demo environment, documentation, product description, or functionality at any time. Cortonex may also correct errors, inaccuracies, omissions, or outdated information without notice.

Cortonex may manage the Services to protect security, availability, legal compliance, user experience, service integrity, intellectual property, and system performance. This may include limiting access, removing content, disabling accounts, applying rate limits, or investigating activity that appears to violate these terms.

Privacy

Cortonex handles personal information as described in the Privacy Policy. By using the Services, you acknowledge that Cortonex may process information as described in that policy and in any separate written agreement that applies to a specific workspace, demo, pilot, or deployment.

User data and backups

You are responsible for maintaining copies of materials you submit to Cortonex unless a separate written agreement states otherwise. Cortonex may maintain backups, logs, audit records, and operational records for security, troubleshooting, legal, continuity, and compliance purposes.

Cortonex is not responsible for loss of data submitted to a public form or demo environment except to the extent required by applicable law or a separate written agreement.

Term, suspension, and termination

These terms apply while you use the Services. Cortonex may suspend or terminate access to the website, demo environments, client-access subdomains, or specific workspaces at any time if Cortonex believes you have violated these terms, created security risk, exceeded the approved scope, provided inaccurate information, or used the Services in a way that may harm Cortonex, customers, users, systems, data, or third parties.

Sections that by their nature should survive termination will survive, including provisions relating to intellectual property, confidentiality, feedback, acceptable use, user data, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and general legal terms.

Electronic communications and signatures

You consent to receiving communications from Cortonex electronically, including by email, website notices, form confirmations, portal notices, or other electronic means. Electronic communications satisfy any legal requirement that communications be in writing to the extent permitted by law.

You agree that electronic signatures, click-through acceptance, typed names, checkbox acceptance, portal acknowledgements, and similar electronic actions may have legal effect to the extent permitted by applicable law.

Disclaimers

The Services are provided on an "as is" and "as available" basis unless a separate written agreement states otherwise. Cortonex does not warrant that the website, demo environments, outputs, content, subdomains, or access will be uninterrupted, error-free, secure, complete, current, accurate, or free of harmful components.

Cortonex disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and reliability, to the fullest extent permitted by law.

Limitation of liability

To the fullest extent permitted by law, Cortonex Technologies Inc. will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, lost revenue, lost data, business interruption, loss of goodwill, loss of use, procurement of substitute services, or reliance on demo outputs arising from or related to the Services.

To the fullest extent permitted by law, Cortonex's total liability for claims arising from or related to the website, demo environments, or these terms will not exceed one hundred Canadian dollars, unless a separate written agreement provides a different liability framework.

Indemnification

You agree to defend, indemnify, and hold harmless Cortonex Technologies Inc., its affiliates, officers, directors, employees, contractors, service providers, and agents from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from or related to your use of the Services, your workspace content, your violation of these terms, your violation of law, or your infringement or misappropriation of third-party rights.

Governing law and venue

These terms and any dispute arising from or relating to the Services are governed by the laws of the Province of Newfoundland and Labrador and the federal laws of Canada applicable there, without regard to conflict-of-law rules.

Subject to any mandatory law that cannot be waived, the courts sitting in St. John's, Newfoundland and Labrador, Canada have exclusive jurisdiction over disputes arising from or relating to these terms, the website, demo environments, or Cortonex-controlled subdomains. You and Cortonex consent to that jurisdiction and venue.

Dispute resolution

Before filing a claim, you and Cortonex agree to attempt in good faith to resolve the dispute informally by providing written notice that describes the issue and the requested resolution. This informal process does not prevent either party from seeking urgent injunctive, equitable, or protective relief where necessary.

Nothing in these terms prevents Cortonex from seeking injunctive, equitable, or urgent relief in any court of competent jurisdiction to protect its intellectual property, confidential information, systems, security, users, customers, data, or service integrity.

General legal terms

If any provision of these terms is found unenforceable, the remaining provisions will remain in effect. Cortonex's failure to enforce a provision is not a waiver of its right to do so later. You may not assign or transfer these terms or any access without Cortonex's written consent. Cortonex may assign these terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or similar transaction.

These terms, together with the Privacy Policy and any separate written agreement that applies to a specific demo, pilot, deployment, workspace, or service, form the applicable agreement between you and Cortonex for the relevant access or use. Headings are for convenience only and do not affect interpretation.
